TERMS AND CONDITIONS OF USE

When you use the Private Golf Connections Inc. (“PGCI”) web site found at www.privategolfconnections.com (the “Site”) and its Services you agree to be bound by all of the terms and conditions of this Agreement.

This agreement describes the responsibilities, the Code of Conduct and the limits of our liability, among other things. Please read the following terms and conditions carefully, as they form the agreement between you and PGCI. If you do not agree to these terms and conditions, you may not use the Services and should not proceed through the application process to become a Member.

1.0	What is the Private Golf Connections Inc. Web Site?
The Site is a publicly and globally accessible internet site. The Site is an internet membership site not a referral service, designed primarily to provide the opportunity for its Approved Members to meet and or play golf with other Approved PGCI Members. PGCI does not interview, screen, or perform background checks on any member, other than to confirm that the applicant or member is in good standing at their stated private golf club(s).

2.0	User Agreement
This Agreement constitutes your agreement with Private Golf Connections Inc. ("PGCI") with respect to your use of the Service. You must agree to abide by all of the terms and conditions contained in this Agreement in order to become or remain an authorized user of the Service. As used in this Agreement, "we" and "us" means PGCI or any successor or assign of PGCI.

3.0	Right to Use
Your right to use the Service is subject to any limitations, conditions and restrictions established by us from time to time, in our sole discretion. We may alter, suspend or discontinue any aspect of the Service at any time, including the availability of any Service feature, database or content. We may also impose limits on certain features and aspects of the Service or restrict your access to parts or all of the Service without notice or liability.

4.0	Adult Status Confirmation
You represent, warrant and covenant that you are at least 18 years old.
 
5.0	Membership Categories
Users of the Service may become "Guests", "Pending Members" or "Approved Members" of the Service.

Guests are allowed access to the publicly accessible area of the Site. They may use whatever Services are available to them including being able to Refer a Friend and Register to the PGCI Newsletter. These Services are free of charge.

Pending Members are members that are part way through the application process, but have not received their final approval notification. They will be held in a pending mode and will not be allowed to use the full functionality of the Services that the approved Members of the Site receive.

Approved Members are provided with complete access to full features of the Services available in the Members area of the Site.

6.0	Fees and Payments
PGCI reserves the right to change our pricing policy at any time at our sole discretion, which may from time-to-time result in a change to its fee structure. Any changes to the fees will take effect the next time that a particular Service is being purchased. We also reserve the right to change the method of payment which is acceptable to us, at our sole discretion.
6.1	Fees
Fees are the amounts payable by the Members to PGCI for the various Services and Products that it offers. PGCI has three fee categories and these are identified below. 
6.1.1	Annual Membership Fee – This fee is charged at the time that a new Member joins and it will be renewed annually on the anniversary date of that Member joining. The membership fee can vary due to: the Tier level that the private golf club to which the applying Member is a member of, or the availability to that Member of any approved PGCI Membership promotions that may be in effect at that time.
6.1.2	Token Purchases – In order to fully leverage the Services made available on the PGCI Member area of the Site, Tokens will need to be purchased. These purchased tokens will be stored within your personal and private profile area and they can be used to pay for the Services when and as needed by the Member. Additional tokens can easily be purchased when needed through the on-line SSL Secured Token purchasing system.
6.1.3	Other Services or Products – From time to time PGCI will hold events, Special Promotions, offer Products or provide additional Services for the Members. Please note these Other Services or Products are other Services and Products that are not considered Membership Fees or Token purchases. These Other Services and Products and their related fees will be clearly identified on the Site as such. Members will then pay the related fees and any stated service charges at the time they request or sign up for that event or promotion or when they request to purchase those specific Services or Products.
6.2	Taxes
In addition to the stated Fee amounts, Members will also be responsible to pay all applicable taxes. These taxes may vary based on where the Member is located in the world. The tax amounts will be clearly stated before the Member accepts the order to be processed. The receipt that will be issued for the total payment will detail the amounts charged including all applicable taxes. If the tax amounts are not known then none will be charged, and it is the responsibility of the Member to ensure that they pay their applicable taxes.
6.3	Mulligans
The Mulligan Reward Program is available only to Approved Members of PGCI. Mulligans are a form of credit given out to a Member by the PGCI system as a result of participation of that Member in the various Services within the Site, and as such are not purchased. These earned Mulligans will be tracked within your personal and private profile area and they can be used to purchase Rewards from the rewards area found in the Members area of the Site.
Should a Member not renew their annual membership, terminate their membership or have their membership terminated by PGCI, these rewards are deemed as lost and can not be claimed by the Member. Mulligans are non-transferable.
6.4	Payment Methods
Approved Members can pay for their membership fees, Token purchases and other fees that may be charged from time to time, only by using credit cards. The PGCI on-line payment system is highly secure and uses 128 Bit SSL encryption. To ensure the highest security possible, PGCI uses the world leading Verisign SSL secure encryption system. Please feel free to click on the Verisign logo on our web site to verify PGCI’s authenticity. Acceptable credit cards are clearly identified in the payment process system.
6.5	Currency
All Fees related to the PGCI Site are in the currency of the United States Dollar or USD unless otherwise noted.
6.6	Refunds
Please read this section carefully. In this section private golf club can also mean private golf resort, private golf course or private golf & country club.
6.6.1	Membership Fees: 
6.6.1a)	THE PAYMENT IN PART OR IN WHOLE, INCLUSIVE OF ALL APPLICABLE TAXES, FOR YOUR ANNUAL MEMBERSHIP WITH PGCI IS NON-REFUNDABLE under any circumstance, including but not limited to cancellation of the membership by the member or by PGCI. 
6.6.1b)	Should a new applicant for membership into PGCI falsify any information on their application, including but limited to, stating that they are currently “a member in good standing” of their private golf club, and during the PGCI approval process they are found not to be in good standing, PGCI will allow the Pending Member 10 days from the application date, to rectify and prove that they are a “member in good standing” at their private golf club. Should they not be able to rectify and prove their standing, then they will not be allowed to join PGCI as an Approved Member and the Membership Fee charged will NOT BE REFUNDED.
6.6.1c)	Should a new applicant for membership into PGCI state that they are a member of a private golf club somewhere in the world, which is found not to be a private golf club, but in fact is a semi-private, public or municipal golf club, then this Pending Member will not be allowed to join PGCI as an Approved Member and the Membership Fee charged will NOT BE REFUNDED.
6.6.2	Token Fees:
6.6.2a)	THE PURCHASE OF TOKENS, INCLUSIVE OF ALL APPLICABLE TAXES, IS NON-REFUNDABLE. Any unused Tokens will remain credited to your account for a period of 180 days after your last login and will not be refunded if unused, even if you are no longer using the Service.
6.6.2b)	Tokens are non-transferable.
6.6.3	Other Services or Products:
6.6.3a)	Events – Under certain circumstances Refunds may be available. Please check the detailed terms and conditions attached to that event.
6.6.3b)	Products – Should a product be purchased from the PGCI Site, Refunds will be available if the Product is defective and it is still within the warranty period, or if the Product is damaged when received. Shipping charges are non-refundable. Please check the detailed terms and conditions attached to the sale of that Product.

7.0	Privacy and Use of Information
Please see the PGCI Privacy Policy at www.privategolfconnections.com/privacypolicy. By using the services you have also agreed to our Privacy Policy.

8.0	Removal of Information
While PGCI does not and cannot review every message or other material posted or sent by Members using the Service, and are not responsible for any content of these messages or materials, we reserve the right, but are not obligated, to delete, move, or edit messages or materials, including without limitation profiles, public postings, messages, video and audio recordings that we, in our sole discretion, deem to violate the Code of Conduct or the Privacy Policy set out above or any applicable content guidelines, or to be otherwise unacceptable. You shall remain solely responsible for the content of profiles, public postings, messages, video and audio recordings and other materials you may upload to the Service or users of the Service.

9.0	Termination of Access to Service
PGCI may, in our sole discretion, terminate or suspend your membership to all or part of the Service at any time, with or without notice, for any reason, including, without limitation, breach of this Agreement. Without limiting the generality of the foregoing, any fraudulent, abusive, or otherwise illegal activity, or that may otherwise affect the enjoyment of the Service or the Internet by others may be grounds for termination of your membership to all or part of the Service at our sole discretion, and you may be referred to appropriate law enforcement agencies.
 
10.0	Proprietary Information
The Service contains information which is proprietary to PGCI, our partners, and our Members. We assert full copyright protection in the Service. Information posted by us, our partners or Members using the Service may be protected whether or not it is identified as proprietary to us or to them. You understand and acknowledge that the Site and any necessary software used in connection with the Site contains proprietary and confidential information that is protected by applicable intellectual property and other laws including copyright law. You agree not to attempt to decipher, decompile, appropriate, modify, copy, distribute or create derivative works based on the Site or source code of any of the software available on or through the Site. For additional information, please refer to our Legal Section.
 
11.0	No Responsibility
You acknowledge that we are not responsible for suspension of the Service, regardless of the cause of the interruption or suspension. We may discontinue or change the Service or its availability to you at any time, and you may stop using the Service at any time.

12.0	Security
Your account is private and should not be used by anyone else. You are responsible for all usage or activity of the Services within the Site by users using your sign-in name and password, including but not limited to use of your password by any third party. 13.0	External Links 
The Service may from time to time contain links to other Internet sites and resources ("External Links"). You acknowledge that we are not responsible for, and have no liability as a result of, the availability of External Links or their contents. Please see the Privacy Policy at www.privategolfconnections.com/privacypolicy for additional details.

14.0	Indemnity 
You agree to indemnify PGCI, our officers, directors, employees and agents, from any loss or damages, including without limitation reasonable legal fees, which we may suffer from your activities on or use of the Service, including without limitation any breach by you of this Agreement, including but not limited to the Code of Conduct or privacy Policy or any charges or complaints made by other parties against you. You shall cooperate as fully as reasonably required in the defence of any claim. We reserve the right to assume the exclusive defence and control of any matter otherwise subject to indemnification by you; provided, however, that you shall remain liable for any such claim.
 
15.0	Limitation of Liability 
I AGREE THAT PRIVATE GOLF CONNECTIONS INC. WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY LOSS OR DAMAGES WHATSOEVER (INCLUDING WITHOUT LIMITATION DAMAGES FOR HARM TO BUSINESS, LOSS OF INFORMATION OR PROGRAMS OR DATA, LOSS OF PROFIT, LOSS OF SAVINGS, LOSS OF REVENUE), ARISING FROM OR IN CONNECTION WITH THE USE OF OR ACCESS TO, OR THE INABILITY TO USE OR ACCESS, THIS SITE AND THE MATERIALS PROVIDED, EVEN IF PRIVATE GOLF CONNECTIONS INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE OR LOSS. In any event, I agree that Private Golf Connections Inc’s. aggregate liability for damages shall be limited to $100 USD. I understand that the limitations of liability and disclaimers in these Terms and Conditions of Use apply regardless of the form of action.

16.0	No Warranties
The Service is distributed on an "as is" basis. We do not warrant that this Service will be uninterrupted or error-free. There may be delays, omissions, and interruptions in the availability of the Service. Where permitted by law, you acknowledge that the Service is provided without any warranties of any kind whatsoever, either express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose. You acknowledge that use of the Service is at your own risk.

We do not represent or endorse the accuracy or reliability of any member profile, advice, opinion, statement or other information displayed, uploaded or distributed through the Service by PGCI, our partners or any user of the Service or any other person or entity. You acknowledge that any reliance upon any such opinion, member profile, advice, statement or information shall be at your sole risk.

17.0	Modifications
PGCI may modify this Agreement from time to time. Notification of changes in this Agreement will be posted on the Service or sent via electronic mail, as we may determine in our sole discretion. If you do not agree to any modifications, you should terminate your use of the Service. Your continued use of the Service now, or following the posting of notice of any changes in this Agreement, will constitute a binding acceptance by you of this Agreement, or any subsequent modifications.

18.0	Disclosure and Other Communications
We reserve the right to send electronic mail to you, for the purpose of informing you of changes or additions to the Service, or of any PGCI related products and services. We reserve the right to disclose information about your usage of the Service and demographics in forms that do not reveal your personal identity. And by your use of the Service, you consent to such disclosures and communications subject to the terms of our Privacy Policy.
 
19.0	Governing Law
This Agreement is entered into in Ontario, Canada. You agree that it will be governed by the laws of the Province of Ontario and any disputes arising out of this Agreement will be subject to the courts of the Province of Ontario and the federal courts applicable within the Province. If any provision in this Agreement is invalid or unenforceable under applicable law, the remaining provisions will continue in full force and effect. This Agreement will not be governed by the United Nations Convention on Contracts for the International Sale of Goods. 20.0	Assignment
You do not have the right to assign this Agreement or any of your rights to the Service to anyone. PGCI has the right to assign any or all of its rights and duties under this Agreement or to the Service to any third party. At the election of PGCI, if PGCI's obligations hereunder are assumed by a third party, PGCI shall be relieved of any and all liability under this Agreement.

1.0	Introduction 
PGCI has created and manages an internet based Membership management system focused on providing unique services to private golf club Members around the world. The publicly accessible pages of the site are limited in their collection and use of personal information, while the password protected member pages of the site requires additional personal information to be provided. PGCI collects this information in order to provide its site Guests and Members with the best and most unique experience in the provision of these services.
This Privacy Policy applies to all Guests and registered Members of the PGCI site (collectively referred to as “Users”). 
PGCI publishes this Privacy Policy to reaffirm our commitment to maintaining the privacy of our Guests and Members and inform you of our practices concerning the collection and use of information you provide us. 
PGCI reserves the right to make changes to any part of this Privacy Policy in its sole discretion, at any time and without prior notice. Continued use of the web site by a Guest or Member following any such change will constitute acceptance of those changes. If we decide to revise in whole or in part this Privacy Policy, we will post the revised Privacy Policy along with the date it was revised, on the site so Users are aware of our information practices. To continue to stay informed about this important issue, please check this Privacy Policy frequently.
To make this Privacy Policy as easy to read as possible, PGCI has simplified certain sentences by substituting defined terms for certain concepts. Accordingly, the capitalized terms used throughout this Privacy Policy shall have the meanings assigned to such terms in Section 9 (“Definitions”) of this Privacy Policy.
 
2.0	PGCI's Privacy Pledge
PGCI makes the following pledge to you: 
2.1	PGCI is committed to protecting the privacy of its Users at all times. 
2.2	PGCI will not share User Information and other Personally Identifiable Information with any third parties, other than those described in Sections 5 in this Privacy Policy. 
2.3	PGCI maintains security standards and procedures designed to protect User Information and other Personally Identifiable Information. We will continue to test and update our technology to improve our ability to protect User Information and other Personally Identifiable Information.

3.0	Consent To Use Information
By using the services provided by the PGCI site, each User consents:
3.1	to the collection and use by PGCI of all information that the User provides to PGCI
3.2	to PGCI’s use of all information that is provided to PGCI on behalf of that User, and all information that PGCI collects based on that User's use of the Services, including, without limitation, all User Information and other Personally Identifiable Information.

4.0	Our Policies Regarding the Collection of Information
At PGCI, our goal is to provide Users with quality information and Services. We are also committed to providing Users with responsive, personalized service, and keeping Users informed about new information, products, and services that may be of immediate interest to Users or that can help Users derive the greatest value from the Site.
User Information is at the heart of our ability to provide superior service to the Users. We describe in this Privacy Policy the types of User Information and other Personally Identifiable Information that we collect, and how and why we may share that User Information and other Personally Identifiable Information with others.
A Guest who browses the PGCI Web site is not required to reveal any Personally Identifiable Information, such as name, address, or telephone number, unless they are subscribing to a Guest service such as the newsletter or the completion of the first stage of the Membership application.  PGCI Web servers collect other information such as the make of a Guest's browser software and the Internet domain name of the location from which the Guest enters. This information helps us diagnose technical problems and manage our sites by tracking user interests. 
The primary reason that we collect and maintain User Information and other Personally Identifiable Information is to serve our Guests and Members and to administer our Member relationships. PGCI may collect User Information and other Personally Identifiable Information from a variety of sources, such as the following: 
4.1	Information Users provide to us, such as information in the application process. 
4.2	Information we receive from a Guest when subscribing to our newsletters or information updates. 
4.3	Information about transactions by Users as part of the Services or other User experiences with PGCI, such as the information we receive when a Member submits a Request to Play, comments or suggestions. 
We collect User Information and other Personally Identifiable Information in a number of ways, such as the following: 
4.4	During the Application Process: 
4.4.1	In order to use our password controlled Member Services, each User will be asked to complete the application process, which requires providing certain application information to PGCI. The application will then be reviewed and approved by PGCI to ensure the application details meet the minimum standards for approval. During the approval stage the user will be designated as a Pending Member.
4.4.2	All Members will select a “pseudo” name within the system, such that they can remain anonymous until they choose to release select User Information and Personally Identifiable Information to another PGCI Member.
4.5	Guest Subscription for Information:
4.5.1	We will collect some User Information and Personally Identifiable Information to be able to provide the service of sending to the Guest at their request, certain information updates. This information will be limited to Guest name, Guest e-mail address, several general preferences and how they found our site.
4.6	Using Credit Cards for Payment: 
4.6.1	We collect credit card information for billing purposes. For the convenience of our Members, PGCI at the Member’s option, store the credit number in our secure database for the Members’ ease of use in using to purchase products or services from PGCI.
4.6.2	We will not use, or share credit card information for any other purpose 
4.7	Log Files: 
We track information about each User's usage of the Services in log files. We use this information as follows: to analyze trends, to administer the Services, to track statistical information about how Users use the Services and to gather broad demographic information for aggregate use.
PGCI does link information regarding a User's usage of the Services to the User's Personally Identifiable Information. Cookies are used as follows:
4.8	Use of Cookies Generally: 
4.8.1	A cookie is a piece of data stored by each User's browser that contains information about the user of a computer. Cookies help Web sites recognize return Guests. When you return to a Web site you visited before and that Web site uses cookies, your browser gives this data back to the Web site's server. 
4.8.2	Contrary to reports about cookies and online privacy, cookies do not contain viruses and most cannot reveal any Personally Identifiable Information about you unless you willingly provide it as a user on a Web site. 
4.8.3	You will find that cookies are an industry standard and are used at most major Web sites in much the same way we use them here at PGCI. You can learn most everything there is to know about cookies at www.cookiecentral.com. We also encourage you to read the privacy policies of all Web sites you visit before you accept cookies from these Web sites. 
4.8.4	You can set your browser to reject or to accept cookies. You have the option to reject cookies when you are just browsing the Web and accept cookies when you want to use the Services. 
4.9	PGCI's Use of Cookies: 
4.9.1	The PGCI Service places a cookie on the hard drive of each User's computer. If a User rejects any cookie offered by the Service, that User may not use the features of the Sevice. 
4.9.2	PGCI stores your User ID in your cookie. 
4.9.3	PGCI uses your cookie to make your experience with the Services more efficient and effective. For instance, by setting a cookie for a Product on a User's hard drive, the User does not have to log in to the Product more than once, which saves time. 
4.9.4	Setting cookies also enables PGCI to track and target the interests of Users. 
4.10	Surveys and Promotional Activities: 
4.10.1	From time to time PGCI may request information from Users via voluntary participation in promotional or market research activities. 
4.10.2	The information that we request may include contact information (such as name and business address), and demographic information (such as zip code and age level).

5.0	Our Policies Regarding the Use and Disclosure of Information
5.1	Information Use and Sharing
Other than what is detailed herein this Section 5, PGCI will not share User Information and other Personally Identifiable Information with any third parties. We may use and share the User Information and other Personally Identifiable Information that we collect among various departments within PGCI and its subsidiaries that perform functions such as servicing User accounts, preparing reports regarding Services use, market research, and promotional activities. 
We use the User Information and other Personally Identifiable Information we maintain about Users and their use of the Services, including application information, as follows:

5.1.1	To help us identify Users - To help us prevent unauthorized persons from accessing User Information and other Personally Identifiable Information and the Services that we make available to specific Users for their use. 
5.1.2	To provide superior service - We use User Information and other Personally Identifiable Information to respond quickly and efficiently to User needs. 
5.1.3	To deliver the Services the site is designed to deliver - The site is designed to allow a member to search and read limited Personal Information about another Member, this is one of the core features of the site.
5.1.4	To tell you about new or enhanced services and/or Services - By understanding more about Users and their use of the Services, we can better meet User needs and determine how other Services could be of value to Users. 
5.1.5	To send out E-mail Updates: 
5.1.5.a)	Once a User completes the application process, PGCI may keep the User updated via e-mail on important news and events concerning PGCI, the Service, and other information that PGCI deems relevant. 
5.1.5.b)	Members will be receiving a number of e-mail notifications including but not limited to; request to play notices, wish list updates, confirmation of purchases made. 
5.1.5.c)	By accepting the License Agreement and this Privacy Policy and by using any Service, each User agrees that PGCI may contact the User by e-mail with respect to PGCI and any aspect of the Services whatsoever. 
5.1.6	To improve and develop our information and Services: 
5.1.6.a)	Every Service that we offer is designed to reflect the ways Users actually use the system. 
5.1.6.b)	We collect and analyze information about the Services so that we can tailor new types of information and Services to meet User demands. 
5.2	When it comes to sharing User Information and other Personally Identifiable Information outside PGCI, we do so only for specific purposes. We share User Information and other Personally Identifiable Information with third parties as follows: 
5.2.1	We reserve the right to share User Information and other Personally Identifiable Information with other third parties that are subcontracted by PGCI to perform specific services on our behalf, such as Paymentech our credit card transaction company.
5.2.2	We reserve the right to share all User Information and Personally Identifiable Information with third parties who act as independent contractors to help us administer the Services, such as data centers that host our servers and technical system consultants who program our hardware and Software. 
5.2.3	We reserve the right to share User Information and Non-Identifying Information in the form of aggregated demographic information that is not linked to Personally Identifiable Information with our subsidiaries, advertisers, and other third parties. 
5.2.4	We reserve the right to disclose certain User Information and Personally Identifiable Information to government agencies and consumer reporting agencies as permitted or required by applicable law. PGCI may make these disclosures for specific, limited purposes, such as verifying individuals' identities (reducing fraud and identity theft). 
5.2.5	PGCI will also disclose a User's User Information and Personally Identifiable Information when and to the extent we believe, in good faith, that we are legally compelled to do so pursuant to an order of a court of competent jurisdiction or other governmental body (including, without limitation, such disclosures required by applicable securities laws as are necessary to comply therewith or with the rules and regulations of any applicable stock exchange). In such an event, PGCI will use reasonable efforts to do the following: 
5.2.5.a)	Give the User reasonably prompt written notice of such requirement so that the User has an opportunity to comment thereon or object thereto and to preserve the confidential nature of the User Information and Personally Identifiable Information that PGCI is required to disclose. 
5.2.5.b)	At the User's expense, use commercially reasonable efforts to cooperate with any of the User's efforts to preserve the confidential nature of the User Information and Personally Identifiable Information that PGCI is required to disclose. 
5.3	Merger’s, Acquisitions or Other Business Transitions 
Should PGCI find itself being part of a merger with another company or companies, being acquired by a third party or if business direction requires the sale of particular assets, User Information and other Personally Identifiable Information will most likely be part of the transfer of company assets, in order to complete these activities.
5.4	Our Policies Regarding the Use and Disclosure of Information About Former Users
For a period of time after a User relationship ends, our policies and practices regarding the use and disclosure of User Information about former Users are the same as those regarding the collection and disclosure of User Information and other Personally Identifiable Information about existing Users. See additional information under the heading in Section 6 of this Privacy Policy. However, after the relationship ends, we may use such User Information and other Personally Identifiable Information about former Users less and less over time. We reserve the right to eventually remove such User Information and other Personally Identifiable Information about former Users from our records.
5.5	Links to Third Party Web Sites
The PGCI Privacy Policy applies solely to the Services provided by the PGCI site. The Services may contain links to Web sites owned and operated by third parties. Any User's use of third party Web sites is at their own risk and subject to any terms and conditions of use, policies regarding the collection of information, privacy policies, and other practices and procedures for such Web sites. PGCI is not responsible for any such terms and conditions of use, policies regarding the collection of information, privacy policies, or other practices and procedures of the third party Web sites that a User may access through hot links found in the PGCI Services. We cannot guarantee how these third parties use cookies or whether they place cookies on your computer that may include User Information and other Personally Identifiable Information. We encourage Users to be aware when they leave the PGCI web site and to read any terms and conditions of use, policies regarding the collection of information, privacy policies, and other practices and procedures of each Third Party Web site before Users provide them with any User Information and other Personally Identifiable Information.

6.0	Information Confidentiality and Security
PGCI is committed to prevent any unauthorized access to each User's User Information and other Personally Identifiable Information. We maintain procedures and technology designed to prevent such unauthorized access. 
6.1	Security Programs
No one can guarantee that data transmission over the Internet will be 100% secure. Nevertheless, PGCI has taken technical, administrative, and physical steps to protect against unauthorized access to User Information and other Personally Identifiable Information used to administer its User accounts. All such information is handled securely within PGCI and its immediate authorized service providers, and is not disclosed to unauthorized third parties. 
6.2	User IDs and Passwords
Each User is responsible for maintaining the confidentiality of his or her User ID and password, and are responsible for all activities that occur under his or her User ID and password, including, without limitation, all related User Information and other Personally Identifiable Information. Each User agrees to immediately notify PGCI of any unauthorized use of his or her User ID or password or of his or her User Information and other Personally Identifiable Information or any other breach of security regarding the Services or his or her User Information and other Personally Identifiable Information. PGCI will not be liable for any Loss whatsoever arising from a User's failure to comply with these security requirements and each User agrees to hold PGCI harmless from any and all Losses that arise from that failure to so comply. 
In addition, Users agree to maintain the confidentiality of their login name and password and also agree not to provide any other individual with their login information for the purposes of gaining access to and using the Services provided in the PGCI site.

7.0	Tips To Help You Protect User Information
If any User suspects that someone has had unauthorized access to his or her PGCI account, or access to his or her User Information and other Personally Identifiable Information, such as his or her User ID or password, the User should send an email to support@privategolfconnections.com immediately so we can take appropriate action to protect the User and his or her User Information and other Personally Identifiable Information.

8.0	Definitions 
For all purposes of this Privacy Policy, the terms used throughout this Privacy Policy shall have the meanings set forth below:
8.1	“Guest” means a person who visits the PGCI website and does not become an Approved Member. Guests are free to enjoy using the Services and information provided on the public side of the PGCI site.
8.2	“Pending Member” means a user that has completed the PGCI application process and PGCI has yet to review the application and thus has not yet approved the Pending Member to become an Approved Member of PGCI. The Pending Member is not able to use and enjoy all the Services offered to Approved Members until they are notified of their Approved status.
8.3	“Approved Member” means a user that has completed the PGCI application process and PGCI has reviewed the application and has approved the Member to become an Approved Member of PGCI. The Approved Member is now able to use and enjoy all the Services offered to Approved Members.
8.4	“User Information” means any information about a User, that (i) PGCI has an obligation to keep confidential or use for limited purposes or (ii) PGCI has any legal obligation to keep confidential or use for limited purposes, including under the Gramm-Leach-Bliley Act, the Health Insurance Portability and Accountability Act, any laws regarding invasion of privacy, or other privacy laws. “User Information” does not include publicly available information. 
8.5	“Non-Identifying Information” means information that, taken alone, cannot be used to identify or locate a Person, including, without limitation: age or date of birth, gender, occupation, education, ZIP code with no address, interests, hobbies, golfing preferences, playing time preferences, income. “Non-Identifying Information” refers to this type of information, regardless of whether such information is collected along with, or is linked to, Personally Identifiable Information. 
8.6	“Personally Identifiable Information” means information that can be used to identify or locate a Person, including, but not limited to; e-mail address, name, street address, phone number, fax number, credit card number, Social Security number or similar government identification, personal photo and tax identification number. 
8.7	“Privacy Policy” means this “Privacy Policy” as it may be amended from time to time, which can be found at http://www.privategolfconnections.com/privacypolicy. 
8.8	The terms “we,” “us,” and other similar terms shall be deemed to refer to PGCI, as appropriate. 
8.9	The terms “you,” “your,” and other similar terms shall be deemed to refer to User and all individual Users, as appropriate.

CODE OF CONDUCT

1.0	Background
PGCI takes great pride in the uniqueness and quality of the Services that this site is designed to deliver to the private golf member community around the globe. PGCI is looking to become the most exclusive golf membership organization in the world. A core component of the success of this site is the need for all Members of PGCI to act at all times professionally, responsibly and with the greatest respect for the each other, the game of golf, the private golf courses that may be played upon and the staff, equipment and property of those courses, when they are engaged in activities as a result of the Services delivered by the PGCI site.

The purpose of this PGCI Code of Conduct (the Code), is to identify expectations and clarify actions that are considered violations to the Code and thereby provide the Members with the consequences of those violations.

2.0	Personal Conduct
You agree to use the PGCI site and its related Services and when doing so you abide by the PGCI Code of Conduct detailed below. You also agree that when visiting other private golf courses, private golf clubs, and private golf resorts that you will act in accordance with the following PGCI Code of Conduct:

2.1	You will only submit information on your application and on your personal Member profile that is true, accurate and current, including but limited to your current handicap, 
2.2	You will not post any Requests to Play or Invitation to Play that you have no intention on actually playing,
2.3	You will honor the right of another Member to decline your Request to Play for any reason they see fit,
2.4	You will promptly pay the Host Member as agreed upon during your completion and confirmation of the Request to Play,
2.5	You will do everything in your power to arrive at the agreed to place and time to play the round of golf as agreed to in the confirmation of the Request to Play, and if that is not possible, you will inform the other playing Member in a timely fashion as to not cause undo hardship or financial loss due to your cancellation or change in the time to play,
2.6	During PGCI sponsored golf tournaments whether they be competitive or charity in nature, you will use your accurate and current handicap, any sandbagging will not be tolerated and will be cause for immediate membership cancellation,
2.7	You will respect fully the Host Member’s golf facility and act in a manner that the Host Member will be proud to have you there as a guest at their club,
2.8	When visiting another private golf club as a Guest of the Host PGCI Member’s, you will act in a professional, respectful and responsible way including but not limited to:
2.8.1	You will at all times both on and off the course, act in a manner becoming of a private golf member,
2.8.2	You will show respect to all personnel of the Host golf facility and any other playing members in your group,
2.8.3	You will take the time to understand and abide by the local club rules,
2.8.4	You will not steal souvenirs from the golf facility or be involved in any form of vandalism,
2.8.5	You will not throw clubs, yell, use abusive language, show bad temperament, be too loud, engage in any activity that is considered to be unbecoming of a private golf club member or disturbing other members,
2.8.6	You will do you very best to not embarrass your Host Member,
2.8.7	You will dress appropriately and in respect of the stature of the private club dress code
2.9	You will keep all information provided to you through the Service as private and confidential and will not give such information to anyone without the permission of the person who provided it to you; 
2.10	You will not use the Service to engage in any form of harassment or offensive behavior, including but not limited to the posting of communications, pictures, videos or audio recordings which contain libelous, slanderous, abusive or defamatory statements, or racist, pornographic, obscene, or offensive language or images; 
2.11	You will not forward chain letters through the Service; 
2.12	You will not use the Service to infringe the privacy rights, property rights, or any other rights of any person or golf facility; 
2.13	You will not post or otherwise distribute messages, pictures or recordings or use the Service in any way which: 
2.13.1	Violates, plagiarizes or infringes upon the rights of any third party, including but not limited to any copyright or trade-mark law, privacy or other personal or proprietary rights, including other intellectual property rights; or 
2.13.2	Is fraudulent, misleading or otherwise unlawful or violates any law; 
2.14	You will not use the Service to distribute, promote or otherwise publish any material containing any solicitation for funds, advertising or solicitation for goods or services other than those allowed by the PGCI Service itself; 
2.15	You will not use the Service to distribute or up load any virus, trojan horses or do anything else that might cause harm to the Service, PGCI systems or to other Members' systems in any way; and 
2.16	You will not post or transmit in any manner any Member’s contact information including, but not limited to, email addresses, "instant messenger" nicknames, telephone numbers, postal addresses, URLs, or full names through your publicly posted information unless given permission to do so in writing by that given Member.

3.0	Consequences
Should a Member be found and proven to be violating or have violated any one or more of the above Codes of Conduct, PGCI reserves the right to immediately cancel the Member’s PGCI membership privileges with no financial refund to the Member and the Member will have no remedy whatsoever against PGCI. Violations may be reported in a number of ways including; Hosts or Guests can fill in the Rating Card after a round of golf has been played, Host or Guest Members may send and e-mail to conduct@privategolfconnections.com
